These Terms of Service (“Terms”) govern the access to and use of the Exponatic platform and related services (“Service”) provided by Exponatic (“we”, “us”, or “our”). By accessing or using the Service, you (“Customer” or “User”) agree to be bound by these Terms. Effective Date: May 16, 2026.
1. Scope
These Terms apply to all services provided by Exponatic to businesses in the signage and printing industry (“Customers”). They exclusively govern the contractual relationship between Exponatic and the Customer. Any deviating or supplementary terms and conditions of the Customer shall not apply unless Exponatic has expressly agreed to them in writing.
2. Subject of the Contract
2.1 Platform Overview
Exponatic provides a Software-as-a-Service (SaaS) platform designed specifically for sign shops and the wider signage industry. The platform enables Customers to offer their end customers an online configurator for signs and related products, including automated pricing, quote generation, order processing, and production file delivery.
The core features of the Exponatic platform include:
- Online product configurator for custom signage
- Automated and real-time pricing engine
- Quote generation and management
- Order processing and workflow automation
- Customer and account management
- Production file generation and delivery
The exact scope of services is determined by the service description on Exponatic.eu and the product description valid at the time the contract is concluded.
2.2 Access and Use
The Customer gains access to the Exponatic platform via a web-based interface and a customer-specific subdomain or embedded integration. Access is provided over the internet using a standard web browser. Exponatic provides the Customer with the necessary access credentials. The Customer is obligated to keep these credentials confidential and protect them from unauthorized third-party access.
2.3 Limitations
Exponatic reserves the right to further develop the platform and make changes to features, provided that these changes do not significantly impair the contractually agreed services. The Customer has no entitlement to a specific version or certain functionalities based on the type of subscription unless these have been explicitly agreed upon in the contract.
2.4 User Management
The Customer can create and manage user accounts within the Exponatic platform for their employees and team members. The Customer is responsible for managing user accounts and assigning appropriate access rights. Each account is granted access for the number of users agreed upon in the contract.
3. Conclusion of Contract
The contract between Exponatic and the Customer is concluded when the Customer accepts these Terms of Service (e.g., during the registration or onboarding process) and Exponatic confirms the Customer’s account. The use of the Service after such confirmation constitutes acceptance of these Terms.
4. Services Provided by Exponatic
4.1 Platform Provision
Exponatic provides the Customer with access to the Exponatic SaaS platform during the agreed subscription period. The platform is hosted on Exponatic’s infrastructure and made available via the internet.
4.2 Onboarding and Setup
Exponatic offers onboarding assistance to help Customers set up and configure the platform to reflect their product catalog, pricing logic, and business workflows. The scope of onboarding support is determined by the selected service plan.
4.3 Updates and Development
Exponatic continuously develops and improves the platform. Updates, bug fixes, and new features are deployed regularly and are included in the service at no additional cost, unless a specific upgrade to a higher service tier is required.
5. Customer Obligations
5.1 General Obligations
The Customer is obligated to use the Exponatic platform only in accordance with these Terms, applicable law, and any applicable individual agreements. The Customer must provide accurate and complete information during registration and keep this information up to date.
5.2 Prohibited Use
The Customer is prohibited from the following activities:
- Unauthorized Access – The Customer must not attempt to gain unauthorized access to any part of the Exponatic platform, related systems or networks, or any data contained therein.
- Distribution of Malware – The Customer is prohibited from introducing, uploading, or distributing any form of malware, viruses, worms, trojans, spyware, or any other malicious code via the platform.
- Data Manipulation and Extraction – The Customer is prohibited from manipulating, extracting, or harvesting data from the platform without authorization, including scraping or automated data extraction.
- Misuse of Resources – The Customer must not use the platform’s resources in a manner that disrupts Exponatic’s infrastructure, including excessive usage of bandwidth, storage, or processing power.
- Illegal Activities – The Customer must not use the platform for any illegal activities, including fraud, money laundering, or any activity that violates applicable laws and regulations.
- Intellectual Property Infringement – The Customer must not infringe upon the intellectual property rights of Exponatic or third parties, or reproduce, distribute, or create derivative works without explicit written consent.
6. Compensation and Payment
6.1 Fees
The Customer agrees to pay the subscription fees for the selected service plan as set out in the applicable pricing documentation or individual agreement. All fees are stated exclusive of applicable taxes unless otherwise specified.
6.2 Billing
Fees are billed in advance on a monthly or annual basis, depending on the selected billing cycle. Invoices are issued electronically and are payable within 14 days of the invoice date unless otherwise agreed.
6.3 Late Payment
In the event of late payment, Exponatic reserves the right to suspend access to the platform after written notice and a reasonable grace period. Exponatic may also charge statutory default interest on overdue amounts.
6.4 Price Adjustments
Exponatic reserves the right to adjust its pricing. The Customer will be notified of any price changes at least 30 days in advance. If the Customer does not agree to the new pricing, they may terminate the contract before the new pricing takes effect.
7. Contract Term
7.1 Duration
The contract commences upon conclusion of the agreement and runs for the initial subscription period selected by the Customer (monthly or annual). The contract automatically renews for successive periods of the same length unless terminated by either party with written notice before the end of the current term.
7.2 Termination
Either party may terminate the contract at the end of the respective subscription period with written notice. Termination must be communicated via email or through the account management interface within the platform. The right to extraordinary termination for good cause remains unaffected.
8. Limitation of Liability
8.1 Scope of Liability
Exponatic is liable for damages only in cases of intent or gross negligence. In cases of ordinary negligence, Exponatic is only liable for damages resulting from the breach of a material contractual obligation whose fulfilment is essential to the proper execution of the contract.
8.2 Cap on Liability
Exponatic’s total liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by the Customer to Exponatic in the twelve (12) months preceding the event giving rise to the claim.
8.3 Exclusions
Exponatic is not liable for: (i) loss of profit, data, goodwill, or business opportunities; (ii) damages caused by the Customer’s misuse of the platform; (iii) failures caused by third-party services or the Customer’s own IT infrastructure; or (iv) force majeure events.
9. Data Protection
The collection, storage, and processing of personal data by Exponatic is governed by our Privacy Policy, which forms an integral part of these Terms. Exponatic processes personal data only to the extent necessary to provide the Service and in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). Where the Customer uploads or processes personal data of its own customers through the platform, Exponatic acts as a data processor, and the parties will enter into a Data Processing Agreement (DPA) as required by law.
10. Granting of Usage Rights
10.1 License
Exponatic grants the Customer a non-exclusive, non-transferable, and revocable right to use the Exponatic platform for the duration of the contract and solely for the Customer’s own internal business purposes in the signage and printing industry.
10.2 Restrictions
The Customer may not sublicense, sell, resell, transfer, assign, or otherwise make available the platform to any third party. The Customer may not reverse engineer, decompile, or disassemble any part of the Exponatic platform.
10.3 Customer Data
The Customer retains ownership of all data, content, and materials uploaded or generated through the platform (“Customer Data”). Exponatic receives a limited, non-exclusive license to process Customer Data solely for the purpose of providing the Service.
11. Availability and Maintenance
11.1 Target Availability
Exponatic aims to make the platform available 99.5% of the time on a monthly basis, excluding scheduled maintenance windows and force majeure events.
11.2 Maintenance
Exponatic reserves the right to perform scheduled maintenance, which may temporarily limit the availability of the platform. Scheduled maintenance will be announced to Customers in advance with reasonable notice. Emergency maintenance may be performed at any time if necessary to ensure the security or stability of the platform.
12. Support and Service Level
Exponatic provides Customer support through email and, depending on the selected service plan, via chat or dedicated account management. Support is available during Exponatic’s regular business hours. Response times and the scope of support depend on the Customer’s subscription plan. Detailed support terms are described in the applicable service plan documentation.
13. Amendments to the Terms
Exponatic reserves the right to amend these Terms at any time. Customers will be notified of material changes at least 30 days in advance via email or an in-platform notification. If the Customer does not object within 14 days of receiving the notification, the amended Terms are deemed accepted. The Customer’s right to terminate the contract if they do not agree to the changes remains unaffected.
14. Confidentiality
Each party agrees to keep the other party’s confidential information strictly confidential and not to disclose it to any third party without prior written consent. Confidential information includes, but is not limited to, technical and business information, pricing, software, data, and know-how disclosed in connection with the Service. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
15. Warranty
Exponatic warrants that the platform will function materially as described in the applicable documentation during the subscription period. If the Customer identifies a defect, they must report it to Exponatic without undue delay. Exponatic will use commercially reasonable efforts to remedy confirmed defects within a reasonable timeframe. Any further warranty claims beyond those stated herein are excluded to the extent permitted by applicable law.
16. Obligations at the End of the Contract
Upon termination of the contract, the Customer’s access to the platform will be deactivated. Exponatic will retain Customer Data for a period of 30 days following termination, during which time the Customer may request an export of their data. After this period, Customer Data will be deleted or anonymized, unless statutory retention obligations require otherwise. The Customer must cease all use of the platform upon termination.
17. Reference Usage
Exponatic reserves the right to refer to the Customer as a reference customer (e.g., by listing the Customer’s company name or logo on Exponatic’s website or in marketing materials) unless the Customer expressly objects in writing. Such objection can be made at any time and will be honored promptly.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the European Union and the laws of the country in which Exponatic is registered, excluding conflict of law provisions. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Exponatic’s registered place of business.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent of the parties.
20. Final Provisions
These Terms, together with the applicable service plan documentation, Privacy Policy, and any Data Processing Agreement, constitute the entire agreement between Exponatic and the Customer. For any questions regarding these Terms, please contact us at legal@exponatic.eu.
